Terms of Service

By accessing or using the services provided by Coastal AI Technologies, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including our website, consulting services, software solutions, and any other services we provide.

Coastal AI Technologies provides AI and automation consulting, development, and implementation services for businesses. Our services include but are not limited to:

• AI strategy consulting and advisory services • Custom AI assistant development • Workflow automation solutions • AI-enhanced business intelligence • System integration services • Training and ongoing support

The specific scope, deliverables, timeline, and pricing for any engagement will be detailed in a separate Statement of Work (SOW) or service agreement.

As our client, you agree to:

• Provide accurate and complete information necessary for us to perform our services • Provide timely access to systems, data, and personnel as needed • Review and provide feedback on deliverables within agreed timeframes • Maintain appropriate backups of your data and systems • Comply with all applicable laws and regulations • Not use our services for any unlawful or prohibited purpose

Failure to meet these responsibilities may impact project timelines and deliverables.

Unless otherwise specified in a written agreement:

**Client Materials:** You retain ownership of all materials, data, and content you provide to us.

**Deliverables:** Upon full payment, you will own the custom deliverables we create specifically for you.

**Our Tools and Methods:** We retain ownership of our pre-existing tools, methodologies, frameworks, and general know-how, including any improvements made during the engagement. We grant you a non-exclusive license to use these tools as part of your deliverables.

**Feedback:** Any feedback, suggestions, or ideas you provide regarding our services may be used by us without any obligation to you.

We agree to keep confidential any proprietary or sensitive information you share with us during our engagement. This includes business strategies, customer data, financial information, and technical specifications.

We will not disclose your confidential information to third parties except: • With your written consent • To our employees or contractors who need to know for the engagement • As required by law or legal process

This confidentiality obligation survives termination of our agreement.

Payment terms will be specified in your service agreement or Statement of Work. Generally:

• Project fees may be structured as fixed price, time and materials, or retainer • Invoices are due within 30 days of receipt unless otherwise specified • Late payments may incur interest at 1.5% per month • We reserve the right to suspend services for overdue accounts

All fees are exclusive of applicable taxes, which will be added where required.

We warrant that: • Our services will be performed in a professional and workmanlike manner • We have the right to provide the services described • Our work will not knowingly infringe third-party intellectual property rights

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

WE MAKE NO WARRANTIES REGARDING THE RESULTS OR BUSINESS OUTCOMES FROM USING OUR SERVICES. AI AND AUTOMATION SOLUTIONS MAY NOT ACHIEVE SPECIFIC PERFORMANCE METRICS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you in the twelve (12) months preceding the claim • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages • We shall not be liable for lost profits, data loss, business interruption, or reputational harm

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless Coastal AI Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services • Your breach of these Terms • Your violation of any third-party rights • Any content or data you provide to us

We will promptly notify you of any such claim and cooperate in its defense.

Either party may terminate a service engagement: • By mutual written agreement • With 30 days written notice (unless otherwise specified in the SOW) • Immediately if the other party materially breaches these Terms

Upon termination: • You will pay for all services rendered through the termination date • We will deliver any work-in-progress, subject to payment • Each party will return or destroy the other's confidential information

Provisions that by their nature should survive termination will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Hillsborough County, Florida. You consent to the personal jurisdiction of these courts.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of our services after any changes indicates your acceptance of the modified Terms. If you do not agree to the changes, you should discontinue use of our services.
